| Conditions for Minotel Partner Sites |
The purpose of this page is to govern contractual relations
between :
- Minotel, with headquarters in Lausanne, Switzerland,
- and any partner site accepted by Minotel which wants to display
a
hyperlink on the site it owns, as identified on the registration
form, to the Minotel.com site, in exchange for payment for hotel
bookings made on this site via the partner site.

Minotel has developed a site partnership programme with the
purpose
of enabling a hyperlink to be set up between the minotel.com web
site at the URL address http://www.minotel.com (hereinafter
referred to as "the Minotel site") and a partner’s site
(hereinafter referred to as "the partner site" or "PS"). By means
of a Minotel link, icon, banner or search engine pointing to a
page
on the minotel.com site, this hyperlink will enable visitors to
the
partner site to be redirected to the Minotel site and to make one
or more hotel room bookings there.
In exchange for setting up said hyperlink on the partner site,
Minotel will pay the PS on the basis of a commission of 5%
which is calculated based on the number of actual nights spent
and not cancelled by visitors from the partner site.

| Acceptance of the Partner Site by Minotel |
Given the commercial and personal nature of this partnership,
Minotel reserves the right to refuse any application at its own
discretion, without having to justify the reason for this refusal
in any way whatsoever.

| Those which will be refused, without
this list being exhaustive, are sites which, either directly or
indirectly :
|
| - contain violent, racist or libellous images or text, or
those which incite any form or extremism or racism, |
| - offer content of a religious, pornographic, erotic,
political or similar nature, |
| - do not comply with the laws and regulations in force and
the rights of third parties, |
| - or which, in any way whatsoever, could harm the brand
image of Minotel or its commercial policy. |

| Duties for Minotel |
Booking hotel rooms is done directly between the visitors from the
partner site and Minotel, which is responsible for making sure the
booking is carried out properly and for the resulting services,
Minotel being the owner of the customers.
Minotel is wholly and fully responsible for the phases of
receiving and processing the booking and providing the service
once the internet user has carried out the booking, credit card
confirmation and cancellation phases.
Minotel will deliver a monthly statement of bookings recorded
under the PS code to each partner site.

Duties for the partner site
| Throughout this partnership, the
partner site undertakes :
|
| 1) that its site will not include, or have any direct or
indirect links with sites which : |
| - contain violent, racist or libellous images or text, or
those which incite any form or extremism or racism, |
| - offer content of a religious, pornographic, erotic,
political or similar nature, |
| - do not comply with the laws and regulations in force and
the rights of third parties, |
| - or which, in any way whatsoever, could harm the brand
image of Minotel or its commercial policy. |
| 2) to respect the graphics containing Minotel’s logos and
brands and not to alter them under any circumstances, |
| 3) not to alter the HTML codes required to create links to
the Minotel.com site, |
| 4) to delete any link to the Minotel.com site in the event
of the termination of this partnership by either party, and to
stop using and/or reproducing Minotel’s logos and brands in any
way whatsoever. |

Effective date
The partnership takes effect after Minotel has accepted the PS’s
application and the partner site has received a message of
confirmation enabling it to set up immediately any form of link,
banner or button on its site including a link to the Minotel.com
site. To do so, the partner site will have available a regularly
updated bank of links from which it can select the links most
suited to its content or context.
It is expressly agreed that access to the programmes and data
contained in the Minotel.com site does not confer any right on the
partner site over these programmes and data, which remain the
exclusive property of the authors.

| Payment |
| | Payment is only due to the PS from when it is sent an e-mail from
Minotel confirming that its application has been accepted and
containing the codes identifying the partner site and enabling it
to set up the hyperlink to the Minotel.com site.
Payment will be calculated according to the number of nights
booked via the partner site.
Payment relates only to general public tariffs.
The rate of payment will be as follows :
5% of room prices

Minotel reserves the right to alter the nature and amount of
payments under this contract at any time. These alterations will
be
sent by post and will take effect 30 days following receipt.
Minotel will make this payment on a monthly basis, as long as
bookings have been made and the balance to be invoiced exceeds the
sum of €50 before tax at the end of the month.
The payment procedure is as follows, the timescale being given in
calendar days from the end of the month in question.
Within 15 days, as long as its balance exceeds €50, the partner
site will receive a statement of commissions and a cheque by post.
Minotel may also suspend the supply of on-line services and/or its
virtual partnership programme at any time and without notice,
either temporarily or permanently. No compensation will be due to
the partner site from Minotel in this respect.
